Introduction
Welcome to the AgeWell platform. These Terms of Service (“Terms”) are a legally binding agreement between you and Age Well Global LLC, doing business as “AgeWell” (“AgeWell”, “we”, “our”, “us”). They govern your use of our website, our mobile application called “AgeWell”, and all associated services (collectively, the “Platform”). The principal place of business of AgeWell is Grande Tower, 17/511‑A3, Kariyad, Athani, Nedumbassery, Kerala, India – 683585.
By accessing or using the Platform and any services provided by AgeWell (“Services”), you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Platform or Services.
By using the Platform, you also agree to be bound by all additional terms, conditions and policies referenced in these Terms and/or available by hyperlink, including without limitation AgeWell’s Privacy Policy, Shipping Policy, Payment Policy, Refund & Return Policy, and any other policies that may be updated from time to time. You must also comply with the applicable terms of the Apple App Store, Google Play Store and/or any other platform where the AgeWell application is made available for download.
Description of the Platform and Services
The Platform is designed to provide senior citizens and their children or relatives with access to a variety of services and products. These may include, but are not limited to:

AgeWell may add, change or discontinue any part of the Platform or Services at any time, with or without notice, provided such changes remain compliant with applicable laws.
Eligibility
You expressly acknowledge and agree that:

You are a natural person. You must be at least 30 years old, or a relative or child of a senior citizen who is at least 30 years old. By using the Platform, you represent and warrant that you meet this eligibility requirement.

You are capable of entering into and are authorised to enter into a legally binding agreement.

All information you submit is accurate and truthful.

You will maintain and promptly update such information to keep it accurate, current and complete.

You are not barred or otherwise legally prohibited from accessing or using Services under applicable laws.
Eligibility for a Child and Relative
A child or a relative of an AgeWell Club member can access certain Services, including but not limited to adding money to an AgeWell Card or tracking spends on an AgeWell Card, only after:

Sending an invite to the AgeWell Club member; and

The AgeWell Club member accepting or consenting to such invite.
A child or relative can also be eligible for such Services if they send or gift an AgeWell Club membership invite and the senior accepts the invite and becomes an AgeWell Club member.
To avail Services from AgeWell and/or its partners, you may be required to provide accurate personal information and documentation, including but not limited to PAN card number, Aadhaar card number, phone number and other details (“Information”). You consent to the collection, storage and use of this Information and its disclosure to partners and other persons, as deemed necessary for providing Services, meeting legal requirements or for administrative purposes.
By accepting these Terms, you grant AgeWell an unconditional right to share your personal information with AgeWell’s partners, affiliates, employees and agents for legitimate business purposes, subject to applicable privacy and data‑protection laws. You represent and warrant that all Information provided by you to AgeWell is true and correct in all respects.
Registration and User Accounts
To access certain Services, you may need to register and create a user account on the Platform. By registering, you agree to:

Provide accurate, complete and up‑to‑date information about yourself.

Maintain the security of your login credentials.

Not share your login credentials with any other person.

Accept responsibility for all activities that occur under your account.
If AgeWell has reason to believe that the information provided by you is untrue, inaccurate or incomplete, or that your account is being misused, AgeWell may suspend or terminate your account or restrict your use of the Platform.
Privacy
Our Privacy Policy, available on the Platform, explains how AgeWell collects, uses, stores and discloses your personal information. By using the Platform, you agree to the terms of our Privacy Policy and consent to the collection and use of your data as described there.
User Content and Behaviour
The Platform may allow you to participate in sessions, events, workshops, games and other interactive activities, and to share content (including text, audio, video or other materials).
By participating in these activities or submitting content, you grant AgeWell a non‑exclusive, royalty‑free, worldwide, perpetual and irrevocable licence to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute and display such content in any media, for purposes connected with operating, improving and promoting the Platform and Services, subject to applicable law.
You agree that you will not upload, post, transmit or otherwise make available any content that is illegal, defamatory, threatening, obscene or otherwise objectionable, or that infringes any third‑party intellectual property or other rights.
AgeWell reserves the right, in its sole discretion and without prior notice, to remove any content or restrict your ability to participate in any activity on the Platform if it believes that you have violated these Terms or any applicable law.
Representations, Warranties and Covenants by Users
You represent, warrant and covenant that:

All information provided by you to AgeWell and/or any third party is and shall remain true, correct and accurate in all respects.

You are not barred or otherwise prohibited from accessing or using any Services or any third‑party services/products.

You will not impersonate any person or entity, falsely claim or misrepresent an affiliation with any person or entity, access the accounts of others without permission, forge another person’s digital signature, or engage in any fraudulent activity.

You will promptly provide all information and assistance as may be required by AgeWell or any third party in dealing with requests or queries from any governmental or regulatory authority.

You will provide KYC and similar relevant details and documents to AgeWell and to third parties, in electronic and/or physical form, as may be required. You authorise AgeWell to use your KYC details for all such Services that AgeWell may offer, by itself or through third parties, from time to time.

You will not share your username and password with any other person and acknowledge that such sharing may cause irreparable harm to you and to AgeWell. You agree to indemnify AgeWell and any third party for any loss or damage suffered as a result of any unauthorised use of your credentials.

AgeWell and any third party shall be entitled to rely upon all electronic communications, orders or messages sent by you to AgeWell and/or such third party. Neither AgeWell nor any such third party shall be obligated to verify or make further enquiry into the identity of the sender or integrity of any communication, and shall not be responsible for any losses sustained through the use of stolen or hacked devices or fraudulent electronic transactions.

Without limiting the foregoing, you agree that you will not use the Services or third‑party products/services to display, upload, modify, publish, distribute, disseminate, transmit, update or share any information that:

is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, libellous, invasive of another’s privacy, hateful or racially/ethnically objectionable, disparaging, or relating to or encouraging money laundering or gambling, or otherwise unlawful in any manner;

infringes any patent, trademark, copyright or other proprietary rights;
-
contains viruses, corrupted files or any other similar software or programmes designed to interrupt, destroy or limit the functionality of any computer resource or that may damage or adversely affect the operation of another person’s computer, websites, software, hardware or telecommunications equipment;
-
advertises or offers to sell any goods or services for any commercial purpose not expressly permitted by AgeWell;
-
is in the nature of promotional services, products, surveys, contests, pyramid schemes, spam, unsolicited advertising or promotional materials, or chain letters;
-
falsifies or deletes any author attributions, legal or other proper notices, or proprietary designations or labels of the origin or source of software or other material;
-
violates any law for the time being in force;
-
belongs to another person to which you do not have any right;
-
interferes with or disrupts the Services or the services/products of any third party or their websites, servers or networks;
-
impersonates any other person;
-
harms minors in any way;
-
forges headers or manipulates identifiers or other data to disguise the origin of any content transmitted through any website or to manipulate your presence on such websites;
-
involves any illegal activities;
-
defames AgeWell or any third party and their employees, officers, directors, agents or service providers, including by posting defamatory content on social media; or
-
threatens the unity, integrity, defence, security or sovereignty of India; harms friendly relations with foreign states; disturbs public order; incites the commission of any cognisable offence; obstructs the investigation of any offence; or insults any other nation” is strictly prohibited on the Platform.

You shall not attempt to or engage in any activity that may:

reverse engineer, decompile or otherwise extract the source code related to the Services or the services/products of any third party or their websites, servers or networks or any part thereof;
-
use any robot, spider, retrieval platform or other similar devices;
-
collect information about other users for any illegal or unlawful purpose;
-
create any user accounts by automated means or under false or fraudulent pretences; or
-
transmit any viruses, worms, defects, trojan horses or any items of a destructive nature.
Suspension
AgeWell reserves the right to suspend or discontinue the Services or the services/products of any third party provided to you and/or to sever its relationship with you at any time, for any cause, including but not limited to the following:
a. Any suspected violation of rules, regulations, orders, directions, notifications or laws, or any violation of these Terms.
b. Any suspected discrepancy in the particulars, documentation or Information provided by you.
c. To combat potential fraud, sabotage, wilful destruction, threat to national security, or for any other force‑majeure reasons.
d. Technical failure, modification, upgradation, variation, relocation, repair and/or maintenance due to any emergency or technical reason.
e. Transmission deficiencies caused by topographical or geographical constraints or limitations.
f. Loss of control over your login details and password or if your account is otherwise compromised.
g. Any abusive, aggressive or threatening behaviour or any act of intimidation or harassment (verbal, physical or written) against any employee, representative or agent of AgeWell or any third party, or against any other user.
h. Any other reason where AgeWell believes, in its reasonable opinion, that cessation or suspension is necessary.
Warranties
a. No warranty of any kind, implied, express or statutory (including but not limited to warranties of non‑infringement of third‑party rights, title, merchantability, satisfactory quality or fitness for a particular purpose) is given in conjunction with the Services or the services/products of any third party or any data/content. While AgeWell may apply such technology as it deems fit to ensure security of and prevent unauthorised access to its products/services, AgeWell does not warrant that products/services or any content/data will be provided uninterrupted or free from errors, or that any identified defect will be immediately corrected. No warranty is given that products/services or any data/content are free from computer viruses or other malicious, destructive or corrupting code, agents, programmes or macros. The Services and Platform are provided on an “as is”, “where is”, “with all faults” basis.
b. You acknowledge that you have not solely relied on any representation or warranty made by AgeWell, any third party, service provider, subcontractor or agent, and that you have made your own independent assessment. It is your responsibility to evaluate the accuracy, completeness and usefulness of all opinions, advice, services, merchandise and other information.
ALL OTHER WARRANTIES, WHETHER LEGAL, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY EXPRESS OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR USAGE OR INTENDED USE, ARE EXPRESSLY EXCLUDED.
Fees and Payment
Certain features of the Platform or Services may be available only to users who pay a fee. If you choose to access such features, you will be required to pay the applicable fee as notified on the Platform. Unless otherwise stated in a specific policy, all fees are non‑refundable.
User Acceptance
By signing up to use the Platform, you acknowledge that you have read these Terms and agree to be bound by them. You also acknowledge that you have read our Privacy Policy and agree to be bound by it. By signing up, you represent that you have provided valid identifying information which may be used to verify your identity.
AgeWell reserves the right to restrict, suspend or terminate your access to the Platform and/or Services at any time if it believes that you have breached these Terms or any applicable law. AgeWell may use technologies to monitor certain aspects of your use of the Platform, including your IP address, in order to verify your geographical location and prevent misuse.
You are responsible for ensuring that your use of the Platform and Services complies with applicable laws.
Liability for Failing to Make Transfers (AgeWell Card / Wallet)
With respect to any AgeWell Card, wallet or similar payment instrument, AgeWell will not be liable, for example:

if, through no fault of AgeWell, your wallet does not have sufficient funds for the transaction or funds are unavailable for withdrawal;
-
if a computer system, ATM or PoS terminal was not working properly and you knew about the problem when you started the transaction;
-
if the ATM where you are making the transaction does not have enough cash;
-
if a merchant refuses to honour a payment made through the wallet or card;
-
if circumstances beyond AgeWell’s control (including but not limited to fire, flood, terrorist attack or national emergency) prevent the transaction, despite reasonable precautions;
-
if you attempt to use a physical card that has not been properly activated; or
-
if the physical card has been reported as lost or stolen, has been suspended, or AgeWell has reason to believe that the transaction is not authorised by you.
Third‑Party Disclosures
AgeWell may disclose the information you provide to third parties:
(i) where it is necessary or helpful for completing a transaction;
(ii) in order to comply with any law or any requirement of a government agency or court order;
(iii) to service providers who administer any wallet, card or payment facility or who perform data processing, records management, collections or similar services, in order for them to perform those services;
(iv) in order to prevent, investigate or report possible illegal activity;
(v) in order to issue transaction authorisations; and
(vi) as otherwise permitted by law.
AgeWell may allow certain third‑party service providers to offer you the ability to log in to their websites or mobile applications using your AgeWell account credentials. AgeWell does not endorse such third‑party websites or applications and is not responsible for them. Your use of any such third‑party website or application will be at your own risk and subject to that third party’s own terms and privacy policies.
Indemnity
You agree to indemnify, defend and hold harmless AgeWell, its affiliates, officers, directors, agents and employees from and against any and all complaints, demands, claims, damages, losses, costs, liabilities and expenses (including reasonable attorney’s fees) made by any third party due to, arising out of or related in any way to:
(i) your access to or use of, or inability to use, the Platform and/or Services;
(ii) your breach of these Terms or the Privacy Policy;
(iii) your improper use of the Platform and/or Services; or
(iv) your breach of any applicable law or third‑party rights.
Disclaimer of Warranties
AgeWell makes reasonable efforts to make the Platform and Services available, but does not make any representations or warranties regarding their performance, availability or timeliness, including the time needed to complete transaction processing, which depends on many factors outside AgeWell’s control.
AgeWell only facilitates access to wallets or similar facilities through the Platform and is not responsible for losses arising solely from the acts or omissions of third‑party service providers.
The Platform and Services are provided on an “as is” basis, without any representation or warranties, express or implied, except as otherwise specified in writing. AgeWell does not warrant the quality of the Services or the Platform, including uninterrupted, timely, secure or error‑free provision, continued compatibility with any device, or correction of any errors. In no event shall AgeWell or any of its affiliates, successors, assigns, investors, directors, officers, employees or agents be liable for any special, incidental, punitive, direct, indirect or consequential damages or losses suffered as a consequence of a breach of the Terms by another user, or arising out of the use of, or reliance on, any Services or the Platform.
Limitation of Liability
To the maximum extent permitted by law:

AgeWell, its affiliates and their respective directors, officers, employees and agents will not be liable for any damages arising out of or in connection with your use of the Services, including but not limited to indirect, incidental, consequential, punitive or exemplary damages, even if advised of the possibility of such damages.

In any event, the total aggregate liability of AgeWell for all damages and losses that arise under or in connection with these Terms, or that result from your use of or inability to use the Services or Platform, shall not exceed the total amounts, if any, actually paid by you to AgeWell for the specific Service giving rise to the claim.

AgeWell has no liability and will make no refund in the event of any delay, cancellation, strike, force majeure or other causes beyond its direct control and will not be responsible for any additional expense, omissions, delays, re‑routing or acts of any government.
Obligations and Restrictions on You
17.1 No scaling or jeopardising our Platform: You agree not to interfere with or use non‑public areas of the Platform and our technical delivery systems. You will not introduce trojans, viruses, malicious software, bots or similar tools, or scrape the Platform for user information. You will not probe, scan or test the vulnerability of any system or security or authentication measures. If you tamper or attempt to tamper with our technological design or architecture, we may terminate your AgeWell account and may report such actions to law‑enforcement authorities.
17.2 No commercial misuse: You shall use the Services only for lawful and personal use. You may not use the Services to collect or store personally identifiable information about other users, or to harass, abuse or harm another person.
17.3 No illegal usage: You shall not use the Platform or Services for committing fraud, embezzlement, money laundering or any other unlawful or illegal purposes.
17.4 Duty to provide true information: The information you provide is used by AgeWell and, where applicable, banking or payment partners to determine your eligibility and continued use of any wallet or payment facility. It is critical that all information is true, complete, not misleading and regularly updated. If any information is incorrect, incomplete or misleading, it will be a breach of these Terms and may be a violation of law. AgeWell may approach appropriate authorities to initiate legal action. If you discover that any information is incorrect, incomplete or misleading, you must promptly inform the Grievance Officer or contact point specified below.
17.5 Duty to be responsible: Given the nature of the Platform and Services, you must keep your mobile device and login credentials safe. You are solely responsible for all activities that occur under your credentials and for any amounts debited from or credited to your wallet or account. You should not disclose your AgeWell account details to any third party. If you believe someone has gained unauthorised access to your account or wallet, you must contact the Grievance Officer or support team immediately.
17.6 Unauthorised use of intellectual property: You agree not to, and shall not permit any third party to, use the Services in any manner that infringes any intellectual property right of AgeWell or any third party.
Force Majeure
Under no circumstances shall AgeWell be held liable for any damage or loss arising from a deficiency in provision of the Services resulting directly or indirectly from acts of nature, forces or causes beyond its reasonable control, including without limitation internet or electricity failures, computer equipment failures, telecommunication equipment failures, government regulations, floods, storms, electrical failures, civil disturbances, riots, pandemics or their impacts, regulatory interventions, adverse weather conditions or other force‑majeure events.
Intellectual Property
All content on the Platform, including but not limited to text, information, documents, descriptions, products, sounds, videos, interactive features, graphics, logos, images, software and services and the trademarks, service marks and logos (“Platform Content”) are the property of AgeWell or its licensors and are protected by applicable copyright, trademark and other intellectual‑property laws.
You are granted a limited, non‑transferable, non‑sub‑licensable and revocable licence to access the Platform and use its features for your personal, lawful requirements only. You may not modify, publish, transmit, transfer, sell, reproduce, duplicate, distribute, create derivative works of, display or commercially exploit any Platform Content, features or facilities, directly or indirectly, without AgeWell’s prior written permission.
Governing Law and Arbitration
These Terms and any action related to them will be governed by the laws of India. Subject to any mandatory consumer‑protection rules, any disputes arising out of or related to these Terms, the Platform or the Services (“Disputes”) shall be subject to the jurisdiction of the competent courts at Ernakulam, Kerala, India.
Where arbitration is applicable or agreed, all Disputes shall be referred to and finally resolved by arbitration held in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitral tribunal shall consist of a sole arbitrator appointed by AgeWell. The seat and venue of arbitration shall be Ernakulam, Kerala. The language of arbitration shall be English. The decision of the arbitrator shall be final and binding and may be enforced in any court of competent jurisdiction. Each party shall bear its own costs of arbitration unless otherwise directed in the award.
Opt‑Out and Account Deactivation
If you do not wish to continue using the Platform or Services, or if you do not agree with any provision of these Terms, you may request deactivation of your AgeWell account or opt out of certain Services by contacting us at:

Electronic Communication
By using the Platform, you consent to receiving communications from AgeWell electronically, including by email, SMS, in‑app notifications or other electronic means. You agree that all agreements, notices, disclosures and other communications provided electronically satisfy any legal requirement that such communications be in writing, to the extent permitted by law.
You are responsible for ensuring that the contact information you provide (including email address and phone number) is accurate and up‑to‑date. Communications will be deemed received when sent to the last email address or phone number you provided.
Regulatory Changes
You understand and agree that AgeWell may need to modify the Services or the Platform due to changes in applicable laws, regulations or policies. If such changes result in your inability to use all or any part of the Platform or Services, AgeWell shall not be liable to you for any resulting loss, to the extent permitted by law.
Third‑Party Content and Advertisements
From time to time, the Platform may display offers, services, products or advertisements from third parties. This does not constitute an endorsement by AgeWell of such third parties or their products/services. If you choose to accept any such products or services, the arrangement will be solely between you and the third party, and AgeWell will not be liable in any manner for such products or services or for the content of any third‑party website you access.

If your concern relates to any wallet, card or payment facility offered through a regulated banking or payment partner, you may also need to follow that partner’s separate customer‑grievance policy as described in their documentation.
If you believe your account or wallet has been accessed without your permission, you must inform AgeWell immediately using the above contact details. The sooner you report any suspected breach, the better we can work to avoid or minimise any loss.
General Provisions
26.1 Assignment: You shall not assign or transfer any right or obligation that has accrued to you under these Terms. Any attempt to assign or transfer such rights or obligations shall be null and void. AgeWell may assign or transfer any of its rights or obligations, in whole or in part, at its sole discretion, without restriction.
26.2 Waiver: Unless expressly stated otherwise, any delay or failure by AgeWell in exercising any right or remedy arising out of these Terms or any other policy shall not constitute a waiver of that right or remedy. No single or partial exercise of any right or remedy shall prevent any further exercise of that or any other right or remedy.
26.3 Survival: Your representations, undertakings and warranties, and the clauses relating to indemnities, limitation of liability, governing law and dispute resolution shall survive the termination or expiry of these Terms.
26.4 Severability: If any provision of these Terms is held to be invalid, illegal or unenforceable, the remaining provisions shall remain valid and enforceable. Any invalid, illegal or unenforceable provision shall be replaced by a provision of similar import that reflects the original intent of the parties to the extent permissible under applicable law.
26.5 Entire Agreement: These Terms, together with the Privacy Policy and any other policies or terms referenced herein or on the Platform, constitute the entire agreement between you and AgeWell with respect to the subject matter and supersede all previous agreements, understandings or arrangements (whether oral or written). Any amendment to these Terms must be in writing and posted on the Platform or otherwise communicated to you.
Changes to These Terms
AgeWell may update or modify these Terms from time to time. Any changes will be posted on the Platform with an updated “last revised” date and may be notified to you by email or other reasonable means. Your continued use of the Platform or Services after such changes become effective will constitute your acceptance of the revised Terms.
Language and Interpretation
These Terms are drafted in English and that version will prevail in case of any inconsistency with a translated version. Headings are for convenience only and shall not affect the interpretation of any provision of these Terms.
